These terms govern your use of engicell.com and our self-serve products and applications operated under that domain. Custom engineering engagements are governed by a separately signed master services agreement (MSA) and statement of work (SOW); where those documents exist, they prevail over these terms.

Agreement

By accessing the website, registering for a product account, or using our services, you agree to these terms. If you accept on behalf of an organisation, you confirm you have authority to bind it. If you do not agree, do not use the services.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and not subject to applicable sanctions or export controls. Our products are designed for business use; consumer use is not supported.

Accounts

  • You are responsible for the accuracy of registration information and for all activity under your credentials.
  • You must keep credentials confidential and enable MFA where offered.
  • Notify us immediately at info@engicell.com of any suspected unauthorised access.

Services & SLA

We provide the services described on this website and in product documentation. Service levels (uptime, response, escalation) for managed engagements are defined in the SOW. For self-serve products, the published product SLA on the product site applies. Free or trial tiers are provided "as is" without SLA.

Fees & billing

  • Fees, billing cycle, and currency are set out in your order form or product plan.
  • Fees are exclusive of taxes; you are responsible for VAT, GST, withholding and similar levies, except taxes on our net income.
  • Overdue invoices accrue interest at the lesser of 1.5% per month or the maximum allowed by law, plus reasonable collection costs.
  • Except where required by law, fees are non-refundable. Specific refund eligibility for self-serve products is described on the product site.

Acceptable use

Your use of our services is subject to the Acceptable Use Policy. Violations are grounds for suspension or termination without refund.

Intellectual property

Our IP

We retain all rights, title and interest in the website, products, documentation, software, trademarks, and underlying know-how. No licence is granted except as expressly stated.

Your content

You retain ownership of data and content you submit. You grant us a limited, worldwide, royalty-free licence to host, process, transmit, and display it solely to provide the services. Aggregated and de-identified statistics may be used to improve the services.

Feedback

If you send us suggestions, we may use them freely without obligation or compensation.

Confidentiality

Each party will protect the other's confidential information with at least the care it uses for its own and only use it to perform under these terms. Confidentiality survives termination for three years, indefinitely for trade secrets.

Warranties & disclaimer

We warrant that we will provide the services in a professional manner consistent with industry standards. Except as expressly stated, the services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation.

Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, exemplary or punitive damages, including lost profits, revenue, data, or business opportunities, even if advised of the possibility. Each party's aggregate liability arising out of or relating to these terms is capped at the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to a party's confidentiality breach, indemnity obligations, fraud, gross negligence, or wilful misconduct.

Indemnity

You will defend, indemnify, and hold harmless Engicell from third-party claims arising out of (a) your use of the services in breach of these terms, (b) your content, or (c) your violation of law. We will defend you against third-party claims that the services as provided infringe a registered IP right, subject to the limits in section 10.

Term & termination

These terms apply while you use the services. Either party may terminate for material breach not cured within 30 days of written notice. We may suspend access immediately for security, legal, or acceptable-use reasons. On termination, your right to use the services ends; we will assist with data export under the terms of your order or MSA.

Governing law

These terms are governed by the laws of the jurisdiction in which the contracting Engicell entity is registered, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction, except where applicable consumer-protection law gives you a non-waivable right to sue elsewhere.

Changes

We may update these terms from time to time. Material changes will be posted with at least 30 days' notice on this page; continued use after the effective date constitutes acceptance.
